Terms of Service

Effective Date: February 22, 2026

1. Overview

These Terms of Service govern all engagements between Clarevanta Process Models Ltd ("we", "us", "the Company") and any individual or organisation ("the Client") that purchases or requests our services. By placing an order or submitting a project request, the Client agrees to these terms in full.

2. Services

We provide process simplification, structure analysis, sequence optimisation, and process model creation services, delivered digitally. The specific scope, deliverables, and timeline for each engagement are confirmed in writing before work begins.We do not guarantee specific business outcomes resulting from the implementation of our process models. The quality and utility of our deliverables are our responsibility; how they are implemented is the responsibility of the Client.

3. Orders and Engagement

An engagement is confirmed when both of the following conditions are met:
  • The scope of work has been agreed in writing between the Client and the Company
  • Payment has been received in full, or a payment schedule has been confirmed
We reserve the right to decline any project request without obligation to provide a reason.

4. Pricing and Payment

All prices are stated in US dollars (USD) and are inclusive of all deliverables specified for that product or engagement. Prices do not include VAT unless separately stated. VAT will be applied where required under applicable UK law.
Payment is due in full prior to commencement of work unless a written payment schedule has been agreed. We accept payment by bank transfer or via the invoicing platform specified at the time of engagement.
For product purchases ($200–$800), full payment is required before delivery begins.

5. Delivery

Estimated delivery timelines are provided at the point of engagement confirmation and represent working days, not calendar days. Timelines begin from the date payment is received and all required information from the Client has been provided.
We are not liable for delays caused by incomplete, inaccurate, or late provision of information by the Client.

6. Revisions

Revisions are included only where explicitly stated in the product or engagement description (currently applicable to the Enterprise product at $800). All other products and project engagements are delivered as scoped. Requests for changes beyond the agreed scope will be treated as a new engagement and priced accordingly.

7. Intellectual Property

All platform features, AI models, software, branding, design elements, and technology are the exclusive property of Helixa.Upon receipt of full payment, the Client is granted full rights to use, adapt, and implement the delivered process models within their organisation. The Company retains the right to use anonymised and generalised versions of the work (with no identifying information) for portfolio, demonstration, or training purposes.We retain ownership of our proprietary methodology, frameworks, and internal documentation formats.

8. Confidentiality

We treat all client information — including process descriptions, internal documentation, and business context shared during an engagement — as confidential. We will not disclose this information to any third party without the Client's consent, except where required by law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability to the Client for any claim arising from an engagement shall not exceed the total amount paid by the Client for that engagement.

We are not liable for:
  • Indirect, consequential, or incidental losses
  • Loss of profit, revenue, or business opportunity
  • Outcomes resulting from the Client's implementation of delivered models

10. Cancellation and Refunds

If a Client cancels an engagement after payment but before work has commenced, a full refund will be issued. If work has already begun, a partial refund will be calculated based on the proportion of work completed at the time of cancellation.
No refunds are issued after a final deliverable has been sent and accepted by the Client.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
